These Terms & Conditions ("Terms") govern access to and use of ClinicNote's website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the practice or organization you represent.
1. Description of service
ClinicNote records or accepts audio of a clinical encounter and uses automated transcription and language models to produce a draft transcript, a structured SOAP note, and suggested billing codes. All AI-generated content is a draft only and requires review and approval by a licensed provider before it becomes part of the medical record or is used for billing.
2. Eligibility & accounts
- You must be at least 18 years old and authorized to act on behalf of your organization.
- You are responsible for the accuracy of information provided at signup and for keeping your credentials confidential.
- You are responsible for all activity that occurs under your account.
3. Acceptable use
You agree not to:
- Record a patient encounter without the consent required by applicable law.
- Use the Service to store or transmit data you do not have the right to share.
- Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service.
- Rely on AI-generated notes or codes without provider review before clinical or billing use.
4. Subscriptions & billing
Paid plans are billed in advance on a monthly basis per clinician seat, as described on our Pricing page. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period.
5. Protected health information & BAA
If you use the Service to process Protected Health Information, a Business Associate Agreement (BAA) between you (or your organization) and ClinicNote governs the handling of that data and takes precedence over these Terms with respect to PHI. See our Privacy Policy for how we handle PHI absent a signed BAA.
6. Intellectual property
ClinicNote retains all rights to the Service, including its software, design, and trademarks. You retain ownership of the encounter data, notes, and content you create using the Service. You grant us a limited license to process that content solely to provide and improve the Service.
7. Disclaimers
The Service is provided "as is." ClinicNote is a documentation aid, not a substitute for clinical judgment. We do not warrant that transcripts, notes, or coding suggestions will be complete, accurate, or free of errors, and a licensed provider must review all AI-generated content before relying on it.
8. Limitation of liability
To the maximum extent permitted by law, ClinicNote will not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.
9. Termination
We may suspend or terminate your access if you violate these Terms or if required to protect the security or integrity of the Service. You may stop using the Service and close your account at any time from Settings.
10. Governing law
These Terms are governed by the laws of the jurisdiction in which ClinicNote is incorporated, without regard to conflict-of-law principles.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email or an in-app notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
